Terms of Use
Last updated: 23 October 2026
These Terms of Use govern access to and use of LOYIAL, including loyial.com, the LOYIAL Merchant dashboard, the customer loyalty-card pages, the progressive web app and related support and billing services. By creating an account, subscribing, joining a loyalty programme or using any part of the service, you agree to these Terms.
1. Who these Terms apply to
LOYIAL is primarily a business-to-business service. A merchant is the business, sole trader or other professional user that creates an account and operates a loyalty programme. A customer is a person who joins a merchant’s programme and uses a digital loyalty card. These Terms apply to both, but some provisions are relevant only to merchants.
Where mandatory consumer-protection law applies to a particular user or transaction, these Terms do not remove or limit those non-waivable rights. Nothing in these Terms is intended to exclude liability or rights that cannot lawfully be excluded.
2. Definitions
- Service: the LOYIAL website, dashboard, digital cards, QR flows, loyalty features, notifications, support and related software.
- Merchant: the business or professional account holder using LOYIAL to operate a programme.
- Customer: the person joining a Merchant’s programme and receiving or using a digital card.
- Programme: the points, visits, offers, rewards and redemption rules configured by a Merchant.
- Content: names, logos, offers, descriptions, reward rules and other material submitted to the Service.
3. What LOYIAL provides
LOYIAL provides software for creating and managing digital loyalty programmes. Depending on the configuration, the Service may allow a Merchant to create a business QR code, let Customers join from a phone, issue digital cards, record points and visits, publish offers, receive point requests, approve points, manage rewards and view programme statistics.
LOYIAL is not a bank, payment processor, point-of-sale system, accounting service, advertising agency, legal adviser or consumer-protection authority. The Service does not guarantee that a Merchant’s programme will attract Customers or produce a particular commercial result.
A QR scan by itself does not necessarily award points. The applicable programme rules and, where required, the Merchant’s approval determine whether points or rewards are issued.
4. Merchant accounts and eligibility
A Merchant must provide accurate information, keep its login details confidential and maintain control of the email address used for the account. An account may be used only by the business or professional user it represents. The account holder is responsible for actions taken through the account and must tell us promptly if it suspects unauthorised access.
You must be legally able to enter into a contract. If you create an account for a business, you confirm that you are authorised to bind that business. We may request information reasonably necessary to verify an account, prevent fraud or comply with law.
One person or business must not create accounts for deception, evade a suspension, misuse a trial or interfere with another Merchant’s programme.
5. Onboarding and the free trial
LOYIAL may offer a 30-day free trial as shown during registration or onboarding. The trial is intended for genuine evaluation by the registering business. The trial does not require a payment card where the registration flow says so, and a paid subscription is not created merely by starting the trial.
Trial availability, duration and included features may be limited to one trial per business, account, payment relationship or other reasonable identifier. We may restrict or end a trial where it is being abused. When the trial ends, continued access to paid features may require an active subscription.
6. Plans, prices and Stripe billing
Paid plans, prices, taxes and included features are shown at checkout or in the applicable plan page. The available plans may include a monthly plan and an annual plan. Any displayed comparison, such as an annual saving or “two months free”, describes the offer shown at the time of purchase and does not change the renewal period.
Payments are processed through Stripe Checkout and billing management is available through the Stripe customer portal. Stripe may require billing details, tax information or identity information. You authorise the selected payment method to be charged for the agreed plan, applicable taxes and any amount clearly disclosed at checkout.
The subscription renews automatically for the same billing period unless it is cancelled before renewal. A cancellation requested through the billing portal normally takes effect at the end of the current paid period: access continues until that date, and the next renewal should not be charged. The exact status and date shown in the billing portal control if there is a difference caused by timing or payment-provider processing.
Prices may change for future billing periods. Where notice is required, we will give it by an appropriate method before the change applies. A price change does not retroactively change a period already paid for.
Refunds, credits, taxes and statutory cancellation rights are handled according to applicable law, the checkout information and the relevant payment-provider process. Unless mandatory law says otherwise, cancellation does not automatically create a refund for a period that has already started. Contact hello@loyial.com promptly if a payment appears incorrect.
7. Cancellation, suspension and termination
A Merchant may cancel a subscription through the billing-management link or portal made available by LOYIAL. Cancelling a subscription is different from deleting a business account. We may suspend or limit access where there is non-payment, suspected fraud, a security risk, unlawful use, material breach of these Terms or a request from a competent authority.
We will take proportionate steps where reasonably possible and may provide an opportunity to correct a breach. Immediate action may be necessary for security, abuse, legal compliance or risk to other users. If access is terminated, the Merchant remains responsible for charges already incurred and for obligations that by their nature continue after termination.
After termination, we may retain or delete account and programme information in accordance with the Privacy Policy, legal obligations, backups, dispute handling and legitimate security needs. Merchants should export or retain information they need before closing an account.
8. Merchant loyalty programmes and responsibilities
The Merchant alone decides the programme’s point rules, visit criteria, offers, rewards, expiry rules, eligibility, redemption conditions and customer communications. The Merchant must publish rules that are clear, accurate and legally compliant, and must honour rewards it has validly advertised or issued.
The Merchant is responsible for its business, products, services, prices, taxes, consumer disclosures, promotions, advertising, permits and compliance with applicable law. It must not use LOYIAL to create misleading offers, discriminatory conditions, unlawful competitions, unfair expiry rules or incentives that violate sector-specific requirements.
The Merchant must not ask Customers to submit unnecessary sensitive information. It is responsible for giving Customers appropriate information about its loyalty programme and for responding to requests about membership, points, rewards and deletion where the Merchant controls that data. The data-protection roles and responsibilities are explained in the Privacy Policy.
LOYIAL may provide operational tools and defaults, but does not verify every Merchant rule, offer, reward or customer complaint. We may remove or disable content that appears unlawful, misleading, harmful or inconsistent with the Service.
9. Customer cards, QR codes and points
A business QR code is used to open or join the Merchant’s programme. A Customer card QR is a separate, Customer-specific identifier used by the Merchant to request or award points. The Merchant dashboard camera is intended for scanning the Customer’s QR, not for registering the Merchant as a Customer in its own programme.
Customers must use the Service honestly and must not copy, share, alter or misuse another person’s card or QR code. A Customer is responsible for protecting access to the device and browser used for the card. We cannot guarantee recovery of a card after browser data, device access or an applicable identifier is lost.
LOYIAL does not promise that points have cash value, are transferable, are insured or can be redeemed outside the Merchant’s stated rules. Disputes about a Merchant’s points or rewards should first be raised with that Merchant; LOYIAL may assist where appropriate.
10. Acceptable use
You may use the Service only for lawful loyalty-programme and related business purposes. You must not:
- reverse engineer, scrape, copy, resell, rent or commercially exploit the Service except as expressly allowed;
- attempt to bypass authentication, rate limits, access controls, QR security or billing;
- upload malware, abusive, defamatory, infringing, deceptive or unlawful material;
- use automated traffic or testing that harms availability or conceals the source of activity;
- collect or upload sensitive personal data without a lawful, necessary and transparent basis;
- impersonate another person, business or LOYIAL, or use the Service to defraud Customers;
- use another account, card, QR code or notification subscription without authorisation.
11. Content, feedback and intellectual property
You retain ownership of Content you submit. You grant LOYIAL a limited, non-exclusive, worldwide licence to host, reproduce, format, adapt and display that Content only as necessary to operate, secure, support and improve the Service. You confirm that you have the rights and permissions needed for the Content, including logos, photographs, names and promotional claims.
LOYIAL and its licensors own the software, design, code, database structure, documentation, trademarks, logos and other Service materials. Except for the limited right to use the Service under these Terms, no ownership is transferred. You must not remove proprietary notices or use the LOYIAL name or logo in a way that suggests endorsement without permission.
If you send feedback or suggestions, you allow us to use them without payment or attribution, provided we do not disclose confidential business information in doing so.
12. Third-party services
The Service may connect to or rely on third parties, including Stripe for subscriptions and payment processing, hosting and infrastructure providers, email delivery providers, browser push services and analytics services where consent has been given. Those providers may have their own terms and privacy notices. LOYIAL is not responsible for an outage, decision, policy or processing activity controlled exclusively by a third party.
13. Availability and changes to the Service
We aim to keep LOYIAL available and secure, but we do not promise uninterrupted or error-free operation. Availability may be affected by maintenance, updates, internet or device problems, hosting, browser support, payment providers, push services or events outside our reasonable control.
We may change, add or remove features, limits, designs and technical requirements. We will try to avoid unnecessary disruption and will provide notice where a change materially reduces a paid feature, unless the change is required for security, legal compliance or a third-party dependency. Continued use after an effective change means the updated Terms apply to future use.
14. Privacy and security
Personal data is handled as described in the Privacy Policy. Merchants must use the Service in a way consistent with their own legal obligations and customer notices. We use reasonable technical and organisational measures, but no online service is completely risk-free.
Notify us promptly if you discover unauthorised account access, a suspected data incident, a compromised payment account or misuse of a QR/card. Do not send passwords, private keys or full payment-card details by email or contact form.
15. Disclaimers
To the maximum extent permitted by law, the Service is provided on an “as available” basis. We do not warrant that the Service will meet every business requirement, operate on every device or browser, preserve every Customer card, deliver every push notification, or produce a particular level of sales, visits, retention or revenue.
We do not verify the accuracy, legality or quality of Merchant Content, Customer submissions, offers or rewards. Each Merchant and Customer remains responsible for decisions made using the Service. Nothing in LOYIAL’s interface or support is legal, tax, accounting, marketing or financial advice.
16. Liability
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct or death or personal injury caused by negligence where applicable. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, anticipated savings, data or business opportunity to the extent the law permits.
Subject to mandatory law, LOYIAL’s total liability arising from a paid Merchant’s use of the Service is limited to the fees paid by that Merchant to LOYIAL for the twelve months before the event giving rise to the claim. For a Customer using a free card, the applicable legal limit is the amount permitted by law. This limit does not apply where such a limit is prohibited.
17. Indemnity for Merchant Content and conduct
To the extent permitted by law, a Merchant will reimburse LOYIAL for reasonable losses, claims and costs arising from the Merchant’s unlawful use of the Service, breach of these Terms, infringement of third-party rights, or Content and programme rules supplied by the Merchant. This does not require a Merchant to indemnify LOYIAL for losses caused by LOYIAL’s own breach, negligence or unlawful conduct.
18. Complaints and resolving disputes
Contact us first at hello@loyial.com with the account email, relevant business and a clear description of the issue. We will review the complaint and try to resolve it fairly. Do not include passwords, private keys or full card details.
Before these Terms are published as a final legal document, the operator should complete this section with the correct governing law, courts or alternative dispute-resolution information for its legal entity and target markets. Mandatory local consumer rights and jurisdiction rules remain unaffected.
19. General provisions
These Terms, the applicable checkout information and the Privacy Policy form the agreement for the Service. If a provision is unenforceable, the remaining provisions remain in effect and the provision will be interpreted as closely as lawfully possible. A failure to enforce a right is not a waiver. You may not transfer a business account or these Terms without our consent, except as part of a lawful transfer of the business. We may transfer the agreement as part of a reorganisation, merger or transfer of the Service.
20. Changes and contact
We may update these Terms when the Service, pricing, security requirements or law changes. The date above identifies the current version. For material changes affecting an existing paid subscription, we will provide reasonable notice where required. If you continue using the Service after the effective date, the updated Terms apply.
Questions about these Terms can be sent to hello@loyial.com. Please add the final operator identity and statutory contact details before relying on this page as the complete legal terms of the business.
